These Terms of Use ("Terms") govern your access to and use of the website, platforms, and the creative, development, and performance marketing services (collectively, the "Services") provided by Social Corn ("we," "our," or "us"). By engaging our Services, signing a quotation/proposal, or paying an invoice, you ("Client," "you," or "your") agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree to these Terms, you must not use our Services.
1. Scope of Services
Social Corn provides subscription-based, retainer-based, and project-based digital services, including but not limited to graphic design, performance marketing (Google Ads, Meta Ads), web development, and digital strategy.
- Proposals & Statements of Work: The specific details, deliverables, timelines, and fees for your engagement will be outlined in a separate Proposal, Quotation, or Statement of Work (SOW) sent via email or direct communication.
- Ad Platform Spends: For performance marketing, our fees cover agency management and professional services only. The actual advertising budget (Ad Spend) is billed directly to your linked payment methods by the respective platforms (e.g., Google, Meta).
2. Client Responsibilities & Account Security
To ensure smooth execution of the Services, the Client agrees to:
- Provide timely, clear, and complete briefs, feedback, and approvals.
- Supply necessary brand assets, high-resolution logos, and access credentials (e.g., Google Analytics, Meta Business Manager) required to perform the Services.
- Ensure that any materials, images, or text provided to us do not infringe upon the intellectual property rights of any third party.
- Maintain the confidentiality of any shared account credentials or project management dashboards.
3. Fees, Invoicing & Payment Terms
All financial transactions are subject to the following terms, strictly in accordance with Indian taxation laws:
- Retainers & Subscriptions: Monthly management retainers must be paid in advance or within the stipulated due date mentioned on the invoice to ensure uninterrupted service.
- Taxes: All fees are exclusive of the Goods and Services Tax (GST). A standard 18% GST (or as applicable by current Indian law) will be added to all invoices. Clients must provide their valid GSTIN for input tax credit purposes.
- Late Payments: Social Corn reserves the right to pause active campaigns, halt website maintenance, or suspend design services if an invoice remains overdue beyond the specified grace period.
- Refund Policy: Due to the professional and time-intensive nature of our digital services, all retainer fees, setup fees, and management charges are strictly non-refundable once the work has commenced.
4. Intellectual Property Rights
- Transfer of Rights: Upon full and final payment of all applicable invoices for a specific deliverable or month of service, Social Corn transfers and assigns to the Client all exclusive rights, title, and interest in the final, approved creative deliverables.
- Pre-existing Material: Social Corn retains all rights to any pre-existing templates, proprietary code, systems, or underlying workflows used to create the deliverables.
- Portfolio Rights: Unless a Non-Disclosure Agreement (NDA) is explicitly signed stating otherwise, Social Corn reserves the right to display the final deliverables, campaign results (excluding sensitive financial data), and client logos in our portfolio, website, and marketing materials as case studies.
5. Warranties & Disclaimers
- Standard of Care: We warrant that our Services will be performed in a professional and workmanlike manner, utilising industry-standard practices.
- No Guarantee of Results: While we employ data-driven strategies and best practices for Performance Marketing and SEO, Social Corn cannot guarantee specific financial results, lead volumes, or sales metrics, as these are subject to market variables, platform algorithm changes, and consumer behaviour beyond our control.
- "As Is" Delivery: The Services are provided on an "as is" and "as available" basis without any further warranties, either express or implied.
6. Limitation of Liability
To the maximum extent permitted by Indian law, Social Corn (and its parent entity, The Studio Nuqaat Store) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.
In no event shall our total aggregate liability for any claims arising under these Terms exceed the total amount paid by the Client to Social Corn for the specific Service in the three (3) months preceding the event giving rise to the claim.
7. Term, Termination & Cancellation
- Notice Period: Retainer and subscription agreements require a standard 30-day written notice for cancellation or termination by either party, unless specified otherwise in your direct Proposal/SOW.
- Immediate Termination: We reserve the right to suspend or terminate Services immediately, without prior notice, if the Client breaches any material provision of these Terms, including failure to clear overdue invoices, or engages in abusive behaviour toward our staff.
- Upon Termination: All outstanding fees for work completed up to the date of termination shall become immediately due and payable.
8. Force Majeure
Neither party shall be held liable for any delay or failure in performance under these Terms resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including but not limited to internet failures, server outages, government actions, strikes, or natural disasters.
9. Governing Law & Dispute Resolution
- Governing Law: These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, and the Information Technology Act, 2000.
- Jurisdiction: Any disputes, controversies, or claims arising out of or relating to these Terms, or the breach thereof, shall be subject to the exclusive jurisdiction of the courts located in New Delhi, Delhi, India.
- Amicable Settlement: In the event of a dispute, both parties agree to first attempt to resolve the matter amicably through good-faith negotiations before pursuing legal action.
10. Modifications to Terms
We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. It is your responsibility to check our website periodically for changes. Continued use of our Services following the posting of any changes to these Terms constitutes acceptance of those changes.
